The Role:
To support the General Counsel (GC) and act as the main point of contact to The Company s internal stakeholders including Finance, HR, IT, Risk, Capital Markets, Investment banking . To provide sound and professional advice on legal issues related to such departments.
To liaise with our external legal counsel(s) and follow-up on all the corporate, regulatory and compliance
To be responsible for the legal affairs of the company that include the company s subsidiaries and affiliates (Group)
Major Responsibilities:
Support the GC in all in house legal tasks, including contract drafting and negotiation, litigation management and support etc.
Advise the executive team on legal matters affecting their departments.
Manage corporate legal matters including registration, licensing, filings and maintenance of appropriate records as required
Advise on legal aspects of the Company s financing, including assessing and advising on current and future business structures and legal entities.
Provide sound advisory services and act as a support to internal clients including finance, HR, IT, compliance and risk.
Handle M&E transactions and provide the needed support in relation to any acquisitions, joint ventures and or other third party agreements.
Collaborate with investment teams to structure investments.
Oversee the handling of negotiations, drafting and reviewing all the contracts (i.e terms and conditions)
Reviewing documents and agreements related to the Capital Market division (i.e. GMSLA, ISDAs when needed although limited)
Liaise with our relevant regulators when it comes to implement the Market Making activities (i.e. DFM, Tadawul, )
Reviewing other documents (i.e. Liquidity provisions agreements )
Handling licensing applications with SCA, DFM, ADX,
Handling brokerage related work for Company s subsidiaries Integrated Securities UAE and Company Securities Egypt
Good knowledge of the Brokerage work
Ability to handle several tasks from corporate to CM related matters
Ability to draft Arabic board resolutions for the Brokerage business or to review these once drafted by the relevant teams
Assist with queries coming from our regulators
Assist Company s other stakeholders such Asset Management Department, Investment Management, Investment Banking as and when needed
To draft and review legal and transactional documents, agreements and correspondence e.g. NDAs, service provider agreements, engagement letters, leases, demand letters, termination letters etc.
To assist business departments e.g. Asset Management, Private Equity with amending fund documentation e.g. prospectuses, service provider agreements and drafting correspondence to their LPs/investors
To update/maintain standard templates used by company.
When needed to provide assistance to the Head of Compliance and Compliance Manager with regulatory correspondence and submissions, due diligence, questionnaires.
To coordinate with authorities e.g. SCA regarding exams required to be taken by the employees, and preparing necessary forms and payments.
Handle complaints / dispute resolution matters
Draft and review commercial contracts taking into account risk mitigation.
Draft business letters and reports in English and Arabic.
Oversee, liaise and manage outside counsel as necessary.
All other ad hoc duties where required.
Qualifications & Desired Skills:
A Legal related degree from a top university
At least 8 years post qualification experience in private practice or in a similar role in a well known, reputable investment bank with a strong brokerage / capital markets division.
Experience and qualifications acceptable to the Regulators in UAE
Strong negotiation and persuasion skills able to take direction.
Ability to work independently, under pressure and within deadlines and be a highly motivated team player with a passion for the investment banking field / financial services industry.
Good judgment and attention to detail.
Maintain the highest level of confidentiality.
The ideal candidate for this position will hold a legal degree from a top rated university be admitted to practice law.
Must be fluent in written and spoken Arabic and English.
